Business Seller Agreement
Commercial Terms
Standard marketplace commission: 5.00%
1.
The Seller agrees to comply with the Hoju Korean Shop Terms & Conditions and Seller Rules & Responsibilities.
2.
The Seller is responsible for the legality, accuracy of product information, stock, quality, safety, packaging, delivery and all obligations attaching to the goods it lists and sells.
3.
The standard marketplace sales commission is 5.00% of the actual product sales amount.
4.
Unless otherwise provided by policy or agreement, delivery charges are excluded from the marketplace sales commission calculation.
5.
For discounted or promotional products, marketplace commission is calculated on the actual product amount paid by the buyer.
6.
Each order is subject to the Seller commission rate applicable when that order is created. A later commission-rate change does not retrospectively alter earlier orders.
7.
Hoju Korean Shop may reduce the Seller future commission rate under a Featured Shop program or another marketplace policy.
8.
The Seller must comply with applicable requirements concerning refunds, returns, disputes, consumer protection, marketplace policies and applicable law.
9.
Where a material policy breach, unlawful sale or material breach of this Agreement is established, the marketplace may restrict selling functionality or terminate this Agreement.
10.
The Seller warrants that its ABN, GST registration status, legal business name, representative details and business address information are accurate and current.
11.
Except where applicable law directly imposes tax collection, reporting or payment obligations on the Hoju Korean Shop marketplace operator, the Seller is responsible for determining its GST registration obligations, calculating and reporting GST, lodging BAS statements, and meeting income-tax and other business-tax obligations.
12.
Order, sales and settlement information supplied by Hoju Korean Shop is provided for the Seller convenience and does not constitute tax, accounting or legal advice.
13.
The Seller should obtain advice from a registered tax agent, accountant or other qualified adviser where necessary to determine its GST and taxation obligations.
14.
The Seller must not list false, counterfeit or non-existent goods or use the service for fraud, deception or conduct intended to cause financial loss to a buyer.
15.
Where such conduct is established or reasonably suspected, Hoju Korean Shop may take measures reasonably necessary to protect users and investigate the matter, including hiding or removing listings, suspending sales, temporarily or permanently restricting the Seller account and holding settlements. Information may be provided to a lawfully authorised authority where required or permitted by applicable law.
16.
The Seller must process an order as soon as reasonably practicable after payment has been confirmed, safely package the goods and comply with the dispatch and delivery conditions represented to the buyer.
17.
Subject to applicable law and this Agreement, the Seller may be responsible for cancellations, refunds, disputes and other consequences arising from unjustified dispatch or delivery delay or failure to fulfil delivery obligations.
18.
Except where immediate action is reasonably necessary to address suspected fraud, unlawful conduct, user safety, account compromise, payment risk or the risk of further harm, where Hoju Korean Shop suspends selling, materially restricts an account, removes listings or imposes a material settlement restriction, Hoju Korean Shop will, so far as reasonably practicable, notify the Seller of the reason for the action.
19.
The Seller may request a review of a sanction or material restriction by providing relevant facts and supporting information. Hoju Korean Shop will reasonably consider the information provided together with relevant transaction and account records and may maintain, vary or remove the action.
20.
Where urgent protective action is taken before notice is given, Hoju Korean Shop will, unless notice must lawfully or reasonably be restricted because of an investigation or other exceptional circumstance, provide the Seller with the nature and reason for the action and an opportunity to request review as soon as reasonably practicable.
21.
Any discretion exercised by the marketplace under this Agreement will be exercised only to the extent reasonably necessary to protect users, prevent fraud, comply with law, preserve transaction integrity or protect another legitimate business interest.
22.
By entering the Seller own name electronically and accepting this Agreement, the Seller confirms an intention to enter into this Agreement electronically.
